This Subscription Agreement (“Agreement”) is entered into between iQ Academy (Pty) Ltd (“the Academy”) and the subscribing parties (“Subscriber”), inclusive of the Student and in some instances the Sponsor, whom may be a Parent or Guardian of the student, regarding access to the Academy’s Virtual Campus, learning resources, assessments, and examinations for the completion of an online learning program. This Agreement details the terms governing the Academy’s services, data privacy, payment obligations, cancellation policy, and certification criteria.

1. Admissions

1.1 The Student applies for admission to a Programme offered by the Academy, and this Agreement is made in good faith between both parties.

1.2 Upon acceptance of the Admission Application by the Academy, a binding Agreement is formed, registering the Student in the selected Programme.

1.3 The Academy may accept or decline any Admission Application at its sole discretion. If declined, the Student may request reasons for the decision in accordance with the Academy’s Admissions Policy.

1.4 The Academy may provisionally admit the Student based on the information provided, even without certified ID or proof of qualifications.

1.5 Provisional admission may be cancelled if required documents are not submitted by the deadline. The Student is responsible for timely submission of the required documents.

1.6 This Agreement consists solely of the Admission Application and Academy Regulations, received as part of the onboarding process. The Admission Application serves as an open offer, valid until one of the following:

  • The Academy accepts the offer and admits the Student,
  • The Student withdraws the application,
  • The Academy finds the Student ineligible, or
  • The Student breaches any Academy Regulations in the application.

1.7 The Academy has the right to decline or cancel an admission of a Student at any stage, if the Student provided incorrect or false information or documentation as part of the admission process.

1.8 The Subscriber consents to the Academy verifying all information and documentation provided to the Academy together with the Admission Application.

1.9 No party may rely on any terms not contained in this Agreement.

1.10 Any changes to this Agreement must be in writing and signed or confirmed verbally on a recorded call.

2. Subscription Services

2.1 Programme Access
The Academy agrees to grant the Student access to the Virtual Campus, which includes
all necessary online learning materials, resources, assessments, and examinations, for
the purpose of completing the enrolled Programme.

2.2 Learning Support
Throughout the subscription period, the Academy will provide the Student with access to instructional materials, tutorials, and limited faculty support during regular business hours.

2.3 Certification Requirement
Upon completion of the subscription period (and full payment thereof) and successful
achievement of academic requirements, the Academy will issue the Student a certificate of completion. The certificate signifies that the Student has met all necessary academic standards for the enrolled Programme.

2.4 Expedited Certification Option
The Subscriber has the option to advance the completion of the subscription period by
paying the remaining balance of all subscription fees in full and if the Student has
completed the necessary assessments in respect of the Programme in order to obtain the relevant certificate. This payment will enable the Academy to process and issue the
certification as soon as the Student fulfils all academic obligations.

3. Subscription Fee and Payment Terms

3.1 Monthly Subscription Fee
The Subscriber agrees to pay a monthly subscription fee, as specified during registration (First pay date), in exchange for the Student to be provided access to the Programme and related services. The Subscriber hereby, assumes absolute responsibility for the payment of the monthly subscription fee as it falls due as a result of the Student being provided with the right access to the Academy’s Virtual Campus.
Failure by the Student to access the Academy’s Virtual Campus for any reason
whatsoever does not result in the monthly subscription fee not being due or provide the Subscriber with a right to claim the subscription fee back from the Academy.

3.2 Scope of Subscription Fees

The monthly subscription fee includes:

  • Access to the Virtual Campus and all course materials
  • Assessment attempts per module and related grading, as outlined in the course
  • materials
  • Student support services for the duration of the subscription period
  • Monthly account management costs, including administrative and support fees

3.3 Exclusions

The following items are excluded from the monthly subscription fee:

  • Re-assessment or re-examination fees for any failed or missed assessments
  • Re-registration fees in cases where the Student must re-enrol in a module or the Programme
  • Any postage or correspondence expenses the Student incurs in communication with the Academy

3.4 Payment Method and Processing
The monthly subscription fee will be collected via debit order, as per the Debit Order
Mandate (outlined in Section 3). Payments are due on the agreed monthly date for that
month’s access.

3.5 Non-payment Consequences
Failure to make timely payments may result in suspension of access to the Virtual
Campus and related services. The Subscriber remains responsible for any subscription
fees accrued during the suspension period, and services will resume upon payment of
outstanding fees.

The nature and amount of indebtedness to the Academy shall at any time be proven by a statement prepared by the Academy or any of its representative, whose authority need not be proved and this certificate shall constitute proof of the contents thereof and of the amount of my indebtedness and the fact that such an amount is due and payable in any legal proceedings instituted by the Academy against the Subscriber.
The Academy will not issue any certificates of completion as long as the subscription fees remain outstanding, or the fully agreed subscription period has not been completed, taking into account the Expedited Certification option in 2.4

4. Rules & Regulations
4.1 The Student agrees to comply fully with the Academy Regulations, which may be
amended at the Academy’s sole discretion.

4.2 The Student is responsible for staying informed about the Academy Regulations.

4.3 The Student may request updated copies of the Regulations as they are issued.

4.4 Academy Regulations are available upon request. Public rules are on the website:
www.iqacademy.ac.za, and enrolled students can access additional rules on the Virtual
Campus platform, the Academy’s Online Student Portal.

5. Debit Order Mandate

5.1 Authorization
The Subscriber authorizes the Academy to deduct the agreed subscription fees from the Subscriber’s designated bank account each month. By signing this Agreement, the
Subscriber grants the Academy permission to initiate debit orders for the monthly
subscription fee.

5.2 Bank Account Requirements
The Subscriber agrees to maintain sufficient funds in the specified account to fulfil the
monthly subscription fee obligation. The Subscriber shall notify the Academy of any
changes to banking details to avoid missed payments.

5.3 Validity of Mandate
This Debit Order Mandate remains valid for the entirety of the subscription period unless terminated in writing by the Subscriber under the terms outlined in Section 6.

5.4 Flexible deduction dates

The deduction date may differ from the original contracted deduction date, in line with the Subscriber’s banks authorised framework, due to the following:

– Failed payments due to insufficient funds will be re-attempted for a period of 5 days;

– The Subscriber will be responsible for all bank charges arising out of the debit order, including unpaid debit order costs in terms of this Agreement;

– Salary dates that fall on a weekend, Monday or a public holiday may be adjusted to deduct on the last business preceding the salary date;

– December deductions may be adjusted to coincide with your actual payment date.

6. Cancellation Policy

6.1 Right to Cancel
The Subscriber may cancel their subscription at any time by providing written notice to the Academy via email or other written means on 30 days prior notice.

6.2 Cancellation Fee
If the Subscriber cancels, the subscription fee remains payable for the month in which the cancellation is processed, and the Student’s access to the Virtual Campus will be
terminated.

6.3 No Refunds for Partial Use
The monthly subscription fee is non-refundable. No refunds will be issued for the month in which the student initiates cancellation.

6.4 Programme changes
Should the student wish to change their Programme, it will be their responsibility to inform the Academy, after which the current course will be deregistered, and the student will be enrolled for the new course. The subscription period will be reset to the beginning, and a new contract will be issue

7. Certification and Completion Requirements – Academic Requirements

7.1 The Student must meet all academic requirements for the Programme, including
satisfactory completion of assessments and examinations, to qualify for certification.

7.2 The Student is aware that the time limit for completion of the Programme are applicable and communicated in their study materials and are strictly to be adhered to.

7.3 Should the Student foresee failure to complete the Programme within the specified
Programme duration, a written application setting out the reason for non-completion must be submitted to the Registration Office requesting an extension of time.

7.4 Extension applications must be received before the expiry date. No extensions will be granted after the expiry date. The Academy may, at its sole discretion, allow an extension of time to a maximum of 6 (six) months.

7.5 The Student is aware that the assessment, moderation, release of marks and/or
certification in respect of Formative and Summative Assessments are in some
Programmes in its entirety or part thereof the responsibility of the applicable regulatory or quality assurance body and will be subject and dependent on those bodies’ rules, regulations and policies. Any queries, objections or results enquiries relating to such assessments should be taken up directly with the applicable body and not with the Academy.

7.6 Upon successful completion of the Programme, the Academy will issue a certificate of completion within a reasonable timeframe. Certification may be accelerated if the
Subscriber opts to pay the remaining subscription balance in full and the student( subscriber) has completed the necessary mandatory assessments, enabling
early issuance upon completion of all required academic milestones.

8. Protection of Personal Information (POPIA)

8.1 Compliance with POPIA
The Academy is committed to protecting the Subscriber’s personal information under the Protection of Personal Information Act (POPIA). Personal information will only be
processed for purposes directly related to the Programme and as required by law.

8.2 Use of Personal Information

The Subscriber’s personal information will be used for:

  • Administration of the Programme
  • Communication regarding the Student’s progress and account status
  • Processing of payments and account management

8.3 Confidentiality
The Academy will not disclose the Subscriber’s personal information to any third party
without prior consent, except as required by law or to facilitate the administration of the Programme.

8.4 Right to Access and Amend Personal Information
The Subscriber has the right to access and request corrections to their personal
information held by the Academy. Requests should be made in writing to the Academy’s Data Protection Officer.

9. General Terms

9.1 Entire Agreement
This Agreement constitutes the entire agreement between the Subscriber and the
Academy regarding the Programme. Any amendments must be documented in writing
and signed by both Parties or agreed to verbally via a recorded call.

9.2 Non-Transferability
The Student’s rights and obligations under this Agreement are non-transferable. The
Student may not assign or delegate these rights to any third party.

9.3 Governing Law and Dispute Resolution
This Agreement is governed by the laws of South Africa. Any disputes arising from this
Agreement will first be addressed through mediation. If unresolved, the Parties agree to submit to the jurisdiction of the courts within South Africa.

10. Copyright, Intellectual Property and Academy Property

Copyright subsists in the study material and all supplementary materials. Any unauthorised reproduction, copying and/or distribution of the study material are acts of copyright infringement and make the Student liable for civil law copyright infringement and may in certain circumstances make the Student liable for criminal prosecution. The Student also understands that the study material is solely for his/her own use and may not be passed on.

11. Domicilium citandi et executandi (physical address for official notices)

The Subscriber provide as its domicilium citandi et executandi (physical address) for all purposes in terms of this Agreement, including the service of legal process, the address set out in the submission application.

Debit Order Authorization
Authorization
I, the Subscriber, authorize iQ Academy (Pty) Ltd to deduct the agreed monthly subscription fee from my designated bank account each month in accordance with the terms of this Agreement. This authorization will remain in effect until the end of the subscription period or written cancellation as per Section 6.

Definitions
In this Agreement, the following expressions bear the meanings assigned to them hereunder, and cognate expressions bear corresponding meanings:

Academy – iQ Academy (Pty) Ltd, registration number 2006/033114/07;

Assessment – the prescribed and/or compulsory forms of gathering evidence of student’s work and knowledge to measure and make judgments about the achievement or non-achievement by the student of the standards needed to complete a module/Unit Standard/Programme, and which shall take the form of either a Formative Assessment or a Summative Assessment;

Formative Assessment/Portfolio of Evidence – assessment that takes place during the process of learning and teaching, in the form of assignments, projects, and/or tests taken during the course; the body of compulsory work to be completed by the Student as part of the completion of the Programme/any Unit Standard forming part of any Programme, and which is submitted either to the Academy or the regulatory or quality assurance body for evaluation;

Summative Assessment – assessments for making a judgment about achievement, which are carried out towards or at the end of a Programme;

Personal Information – means “personal information” as defined in POPI;

POPI – The Protection of Personal Information Act 4 of 2013;

1.13 Programme – the Programme/qualification/short course or programme of study presented by the Academy and to which the Student is applying to be admitted on and enrolled by the Academy, which the Student is to academically complete for the recognition type applicable;

Student – the person who is submitting the Admission Application to the Academy for enrolment in one of the Programmes presented by the Academy;

Sponsor – the person that agrees to be held jointly and severally liable for the subscription fees in respect of the Programme, for and on behalf of the Student in solidum in favour of the Academy in accordance with the Agreement
